1. Acceptance of Terms
By accessing or using the Slaytes platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Platform. Your continued use of the Platform following any updates to these Terms constitutes your acceptance of the revised Terms. We will provide at least 30 days' notice before material changes take effect.
2. Eligibility
You must be at least 13 years of age to use the Platform. If you are between the ages of 13 and 18, you may only use the Platform with the consent and supervision of a parent or legal guardian. By using the Platform, you represent and warrant that you meet these eligibility requirements.
3. User Accounts
To access certain features of the Platform, you must create an account. When creating your account, you agree to the following:
- Accurate information: Provide truthful, current, and complete information during registration and keep your account information up to date.
- One account per person: Maintain only one account. Creating multiple accounts is prohibited.
- No sharing or resale: Your account is personal to you. You may not share your login credentials with others or sell, transfer, or license your account to any third party.
- Account security: You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
- Unauthorized use: You must notify us immediately at legal@slaytes.com if you become aware of any unauthorized access to or use of your account.
4. Subscriptions and Purchases
The Platform offers both individual content purchases and subscription plans. The following terms apply to all transactions on the Platform:
- Final sales: All purchases are final. Refunds are not provided unless the purchased content becomes permanently unavailable on the Platform.
- Auto-renewal: Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings.
- Refunds for technical issues: Refunds for technical problems that prevent you from accessing purchased content are granted at Slaytes' sole discretion.
- Price changes: We reserve the right to change pricing for subscriptions and content. You will receive at least 30 days' notice before any price increase takes effect on your account.
5. Content Standards
Slaytes is a premium streaming platform for independent creator-driven content. All content published on the Platform must adhere to the following standards. Content must not:
- Promote, glorify, or incite violence against any individual or group.
- Contain hate speech or promote discrimination based on race, ethnicity, gender, sexual orientation, religion, disability, or any other protected characteristic.
- Facilitate, encourage, or depict illegal activity.
- Distribute malware, viruses, or any other harmful software.
- Constitute spam, misleading content, or deceptive practices.
- Infringe upon the intellectual property rights of any third party, including copyrights, trademarks, and patents.
- Violate any applicable local, state, national, or international law or regulation.
6. Content Moderation and Enforcement
Slaytes enforces its Content Standards through a clear, graduated enforcement process:
- First violation: A warning is issued and the offending content is removed from the Platform.
- Second violation: Temporary suspension of your account for a period of 7 to 30 days, depending on the severity of the violation.
- Third violation: Permanent termination of your account and removal of all associated content.
- Severe violations: Content involving illegal activity, credible threats of violence, or other extreme violations may result in immediate and permanent account termination without prior warning.
Appeals: You may appeal any enforcement action within 14 days of receiving notice by contacting appeals@slaytes.com. All appeals will be reviewed and a decision provided within 30 days.
7. Copyright and DMCA Process
Slaytes respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act (DMCA). If you believe that content on the Platform infringes your copyright, you may submit a written takedown notice to our designated DMCA agent at copyright@slaytes.com. Your notice must include:
- Identification of the copyrighted work you claim has been infringed.
- Identification of the material on the Platform that you allege is infringing, with sufficient detail for us to locate it.
- Your contact information, including name, address, telephone number, and email address.
- A statement that you have a good-faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law.
- A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.
- Your physical or electronic signature.
Counter-notice: If you believe your content was removed in error, you may submit a counter-notice to copyright@slaytes.com in accordance with the DMCA counter-notification procedures.
Repeat infringer policy: Accounts that receive three or more valid DMCA strikes will be permanently terminated.
8. Intellectual Property
The Platform, including its design, code, features, and branding, is owned by Slaytes and protected by applicable intellectual property laws. The Slaytes name, logo, and all associated branding are trademarks of Slaytes and may not be used without prior written permission.
Content uploaded by creators remains the intellectual property of the respective creator, subject to the terms of the separate Creator Agreement. You may not reproduce, distribute, modify, or create derivative works from any content on the Platform without explicit permission from the content owner.
9. User Conduct
When using the Platform, you agree not to engage in any of the following prohibited activities:
- Attempting to gain unauthorized access to the Platform, other user accounts, or any systems or networks connected to the Platform.
- Harassing, threatening, intimidating, or bullying other users or creators.
- Using bots, scrapers, crawlers, or other automated tools to access, collect data from, or interact with the Platform without our written consent.
- Circumventing, disabling, or otherwise interfering with any security features, access controls, or technical protections of the Platform.
- Impersonating any person or entity, or falsely representing your affiliation with any person or entity.
- Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code of the Platform.
- Using the Platform or its content for any commercial purpose without our prior written authorization.
10. Termination
Slaytes may suspend or terminate your account if you violate these Terms. When enforcement action is taken, you will receive notice explaining the reason for the action and the applicable enforcement step as outlined in Section 6.
You may delete your account at any time through your account settings. Upon termination or deletion of your account:
- Access ceases: Your access to the Platform and its features will end immediately.
- Purchased content: You may retain access to previously purchased content for up to 30 days following termination to allow for downloading, after which access will be revoked.
- Active subscriptions: Any active subscription will be cancelled. No refund will be issued for the remaining portion of the current billing period.
- Surviving provisions: Sections of these Terms that by their nature should survive termination will remain in effect, including but not limited to intellectual property, limitation of liability, and dispute resolution provisions.
11. Service Availability
Slaytes does not guarantee that the Platform will be available at all times or without interruption. We may perform scheduled maintenance, during which the Platform may be temporarily unavailable, and we will provide reasonable advance notice when possible. Slaytes is not liable for any downtime or service disruptions.
We reserve the right to modify, suspend, or discontinue any feature or aspect of the Platform at any time. For material changes that significantly affect your use of the Platform, we will provide at least 30 days' notice.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Slaytes and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform, regardless of the theory of liability.
In no event shall the total liability of Slaytes to you for all claims arising out of or related to these Terms or the Platform exceed the total amount you have paid to Slaytes in the 12 months immediately preceding the event giving rise to the claim.
13. Disclaimers
The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Slaytes does not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
14. Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law principles.
- Small claims: For claims under $10,000, either party may bring an action in small claims court located in the State of Delaware.
- Arbitration: For claims exceeding $10,000, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall be conducted in the State of Delaware or remotely, at the election of the claimant.
- Attorneys' fees: Each party shall bear its own attorneys' fees and costs, unless the arbitrator determines that a claim was frivolous, in which case the arbitrator may award reasonable attorneys' fees to the prevailing party.
- Class action waiver: All disputes shall be resolved on an individual basis. You agree to waive any right to participate in class actions, representative actions, or consolidated proceedings.
- Statute of limitations: Any claim arising out of or related to these Terms or the Platform must be brought within one year of the date the cause of action arose.
15. Changes to These Terms
We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice by posting the updated Terms on the Platform and updating the "Last updated" date above. Your continued use of the Platform after the revised Terms take effect constitutes your acceptance of those changes. If you do not agree with the updated Terms, you must stop using the Platform.
