Creator Agreement

1. Overview
This Creator Agreement ("Agreement") governs the relationship between you ("Creator") and Slaytes when you publish content on the Slaytes platform. By uploading or publishing content on Slaytes, you agree to be bound by the terms of this Agreement. This Agreement works alongside the Terms of Service, which also apply to your use of the platform.
2. Intellectual Property Ownership
Creator retains full intellectual property ownership of all content published on Slaytes. Slaytes claims no ownership over Creator content. All rights not explicitly granted to Slaytes under this Agreement remain with the Creator.
3. Exclusive Streaming License
By publishing content on Slaytes, you grant the platform an exclusive streaming license for a period of twelve (12) months from the date of publication. During this exclusivity period:
- Content must remain exclusively on Slaytes for streaming purposes.
- Creator may not publish or license the same content for streaming on competing platforms.
- Creator may post clips, trailers, and promotional excerpts on social media and personal websites.
After the 12-month exclusivity period expires, the license becomes non-exclusive. Creator is free to distribute the content elsewhere, and the content will remain available on Slaytes unless removed per Section 4.
4. Content Removal and Wind-Down
During the 12-month exclusivity period: Content cannot be removed from the platform. No exceptions.
After the exclusivity period expires: Creator may request removal of their content by sending written notice to creators@slaytes.com. Upon receiving a valid removal request, a six (6) month wind-down period begins.
During the wind-down period:
- Content remains available on the platform with a visible countdown notice displayed to viewers indicating when the content will be leaving Slaytes.
- Creator may publish the same content on other platforms (the license is non-exclusive during wind-down).
- Creator continues earning their revenue share for the duration of the wind-down period.
After the 6-month wind-down period concludes, the content is fully removed from Slaytes. Content removal does not forfeit any earned but unpaid revenue.
5. Revenue Sharing
a) Direct Purchases
When a viewer purchases specific Creator content (an individual series, film, etc.), the revenue is split 60% Creator / 40% Slaytes.
b) Subscription Pool
When a viewer pays a monthly subscription fee:
- 50% of the subscription fee is retained by Slaytes.
- 50% is allocated to a Creator Pool.
- The Creator Pool is distributed proportionally based on each subscriber's individual watch time. For example, if a subscriber watches 70% Creator A content and 30% Creator B content in a given month, Creator A receives 70% of that subscriber's pool allocation and Creator B receives 30%.
c) Payment Terms
- Payments are made monthly, within 45 days after the end of each calendar month.
- Minimum payout threshold: $25. Balances below $25 roll over to the next month.
- Payments are processed via Stripe Connect (or equivalent processor).
- Creator is responsible for providing accurate tax information (W-9/W-8BEN).
- Slaytes will provide monthly revenue reports accessible via the Creator Dashboard.
d) Taxes
Creator is responsible for all applicable taxes on their earnings. Slaytes will issue 1099 forms (US) or equivalent documentation as required by law.
6. Content Standards and Quality
All content published on Slaytes must meet the platform's standards as outlined in the Terms of Service. Creators must:
- Maintain quality consistent with a premium streaming platform.
- Ensure all content is original or properly licensed.
- Provide accurate metadata, descriptions, and content ratings.
- Comply with all applicable laws and regulations.
Slaytes may review content for quality and standards compliance and may request revisions or decline publication if content does not meet the platform's standards.
7. Creator Representations and Warranties
By publishing content on Slaytes, Creator represents and warrants that:
- Creator has full rights and authority to publish the content and to enter into this Agreement.
- The content does not infringe any third-party intellectual property, privacy, or publicity rights.
- The content complies with all applicable laws and regulations.
- Creator has obtained all necessary releases, licenses, and permissions for any third-party elements included in the content.
- Creator has not granted conflicting exclusive rights to another platform.
8. Indemnification
Creator agrees to indemnify, defend, and hold harmless Slaytes and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:
- Content that infringes on third-party rights.
- Breach of the representations and warranties set forth in this Agreement.
- Violation of any applicable laws or regulations.
Slaytes will promptly notify Creator of any such claim and will allow Creator to participate in the defense of any such claim.
9. DMCA and Takedowns
If content receives a valid DMCA takedown notice:
- Slaytes will notify Creator and temporarily remove the affected content.
- Creator may file a counter-notice if they believe the takedown is invalid.
- Three (3) valid DMCA strikes will result in termination of the Creator's account.

10. Termination
By Creator: Creator may terminate this Agreement by providing 30 days written notice to Slaytes. Content that is still within the 12-month exclusivity window will remain on the platform until the exclusivity period expires. Post-exclusivity content enters the 6-month wind-down period as described in Section 4.
By Slaytes: Slaytes may terminate this Agreement for material breach of this Agreement or the Terms of Service, with written notice specifying the breach. Creator has 14 days to cure the breach (if curable). If the breach is not cured within 14 days, the Agreement terminates.
Outstanding Revenue: All earned but unpaid revenue will be settled within 60 days of termination, regardless of which party initiates termination.
11. Platform Shutdown
In the event that Slaytes ceases operations:
- Slaytes will provide a minimum of 90 days advance notice to all Creators.
- All exclusivity obligations are immediately released upon notice of shutdown.
- All outstanding revenue will be settled before the platform shuts down.
- Creators receive full, unrestricted rights to distribute their content on any platform.
12. Modifications
Slaytes may modify this Agreement from time to time. For material changes, Slaytes will provide 30 days notice to affected Creators. Continued publishing of content after the notice period constitutes acceptance of the modified terms. If Creator disagrees with the modifications, Creator may terminate this Agreement per Section 10.
13. Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.
- Small claims: Disputes involving amounts under $10,000 may be brought in small claims court.
- Arbitration: Disputes involving amounts above $10,000 will be resolved through binding arbitration administered by the American Arbitration Association (AAA).
- Class action waiver: Both parties agree to resolve disputes on an individual basis and waive the right to participate in any class action or representative proceeding.
- Statute of limitations: Any claim arising under this Agreement must be filed within one (1) year of the date the claim arose.
